Company Formations


As a firm of chartered accountants we are often asked to form limited companies for our clients. In the past we have used external company formation agents but with the recent advances in company formation and compliance software and the ability to file many if not all documents electronically with Companies House, we can now offer "in house" company formation as a service to our clients and the general public.

Our service is fast and good value for money, consistent with a quality service.

We form limited companies with an authorised share capital of £100 divided into 100 ordinary shares of £1 each. Clubs, associations and charities can register for limited liability as a "company limited by guarantee" without an authorised share capital.

Companies are normally registered using general purpose Memorandum and Articles of Association that enable the company to operate in practically any area of trade or service.  We can however register the company with a Memorandum of Association tailored to cover a specific trade or service for a small additional charge.

Companies are normally registered with our associate companies, Bambury Director Limited and Bambury Secretary Limited, as respectively the first company director and the first company secretary.  We provide you with the paperwork to transfer the newly registered company into your name.  If you want yourself, a colleague or a family member to be the first company director or the first company secretary then we will need some additional information from you about the first director and secretary.

As can be seen from the table below in addition to commercial companies we can also form holding and subsidiary companies, flat management companies, limited by guarantee companies and public limited companies. The price for these type of companies increases because of the complexity of the Memorandum and Articles of Association and the additional work this entails.

Please note that VAT at the applicable rate will be charged on part of the above costs.

The price includes not only the costs of incorporating the new company but also the costs of writing-up all the registers for the company, allocating shares and preparing share certificates, filing any additional forms with Companies House and drafting the minutes for the first board meeting of the company. We normally supply one copy of the memorandum and articles with each incorporation - additional copies can be ordered, as can be company seals, brass nameplates, etc.

Once payment has been made formation of the company usually takes no more than a few hours subject to any delays caused by the workload at Companies House. We let you know the company details by email once it has been successfully formed.
